Sweden: Company Incorporation

Overview:

The Swedish market is one of the most attractive when it comes to business incorporation and foreign direct investments.

Process:

The process of business incorporation in Sweden differs according to the nature of the company:

  • Sole trader
  1. Tax registration: register your business with the Swedish Tax Agency.
    Register for T- Tax and VAT and apply online, here.
  2. Register a name for your business: This step is optional. It is not a requirement, but it gives you the advantage of the name in the county where you will be operating.

  • Limited company:

If you are planning to incorporate a limited company, you must have at least SEK 25,000 in share capital.

  1. Register with the Swedish Companies Registration office:
    Your limited company only becomes a legal entity when it gets registered with the Swedish Companies Registration Office. The registration will provide nationwide protection of the company name.

  • Trading partnership

You can consider a trading partnership if you are at least two natural persons or legal entities who wish to start a business together.

Note: There is no requirement to invest capital.

  1. Register with the Swedish Companies Registration office:
    A partnership has to be registered with the Swedish Companies Registration Office and then it would be allocated an identity number and receives protection for its business name.

Fees:

The fees of companies incorporation in Sweden depends on the nature of the entity.

There is an average total engagement fee of 14, 122 euros that includes the company incorporation, opening a corporate bank account, VAT, all government fees as well as the tax registration.
